Terms of service
Last updated September 23, 2026
1. The agreement
These terms are a contract between you and DueDays ("DueDays", "we", "us") covering the website at duedays.app, the application at app.duedays.app, and related email and support (together, the "Service"). By creating an account or using the Service you agree to these terms and to our Privacy Policy. If you're using DueDays for a business, you're agreeing on that business's behalf and confirm you're allowed to.
2. What DueDays is — and isn't
DueDays helps you keep track of filing and payment deadlines and store the related documents. It ships with a calendar of common federal and state obligations for a small S corporation and lets you edit, add and remove items.
DueDays is not a tax, legal, accounting or financial adviser and does not provide professional advice. Using it does not create an accountant–client, attorney–client or fiduciary relationship. Specifically:
- DueDays does not prepare or file any return, form or payment, and does not transmit anything to the IRS, any state agency or any other body.
- The deadlines, rules, penalty figures and explanations in the Service are general information drawn from published government calendars. They may be incomplete, may not apply to your situation, and may change without notice. Agencies move dates; laws change.
- You are solely responsible for identifying every obligation that applies to your business, for confirming due dates with the relevant agency or your professional adviser, and for filing and paying on time.
Please read our full Disclaimer, which is part of these terms.
3. Your account
- You must be at least 18 and provide accurate information. During early access, accounts are created by us after you request one; later you'll be able to sign up directly.
- Keep your password private. You're responsible for everything done under your account; tell us right away at hello@duedays.app if you think it's been compromised.
- One account is for one business and the people who run it. Don't share credentials outside your business or resell access.
4. Your content
- Everything you enter or upload ("Your Content") stays yours. You give us only the limited license needed to store, back up, display and export it for you, and to operate the Service. That license ends when Your Content is deleted.
- You're responsible for Your Content and confirm you have the right to store it with us. Don't upload anything illegal, anything that infringes someone else's rights, or malware.
- We keep backups, but you should keep your own copies of important documents. Export is available at any time.
- We don't look at Your Content except to provide support you ask for, to investigate abuse or security issues, or when the law requires it.
5. Acceptable use
Don't attempt to access other accounts or our systems without authorization, probe or overload the Service, scrape it, reverse-engineer it, use it to store or distribute unlawful material, or use it in a way that breaks the law. We may suspend accounts that do.
6. Fees, trials and cancellation
- Early access is free. There is no charge and no card required while DueDays is in early access.
- When billing launches we'll give account holders at least 30 days' notice by email, post the prices on the website, and honor any founder rate we've promised to early-access accounts for as long as their subscription stays active without lapsing.
- Subscriptions renew automatically (monthly or yearly, as chosen) until cancelled. You can cancel at any time from the app or by email; you keep access through the end of the period you've paid for, and no further charges are made.
- Refunds: if you're unhappy in the first 14 days after your first paid charge, email us and we'll refund it in full. After that, charges are non-refundable except where the law requires otherwise.
- Free trial: if we offer one, it converts to a paid subscription only if you choose a plan; we won't charge a card you haven't provided.
- Taxes: prices exclude sales tax or VAT, which will be added where we're required to collect it.
- Price changes apply from your next renewal after at least 30 days' notice, and never override a founder rate we've promised.
7. Availability and changes
We work hard to keep DueDays available, but it's provided without an uptime guarantee; there will be maintenance windows and occasional outages. We may add, change or remove features. If we ever decide to shut the Service down we'll give at least 60 days' notice and keep export working until the end.
8. Ending the agreement
- You can stop at any time: export your data, then delete your account or ask us to.
- We may suspend or close an account that violates these terms, is used for something unlawful, or has an unpaid balance after notice. Where reasonable we'll warn you first and give you a chance to export.
- After an account is closed, Your Content is deleted as described in the Privacy Policy (within 30 days, backups aging out shortly after).
- Sections 2, 4, 9, 10, 11 and 13 survive termination.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY DEADLINE, DATE, AMOUNT, PENALTY FIGURE OR EXPLANATION IN THE SERVICE IS ACCURATE, COMPLETE, CURRENT OR APPLICABLE TO YOU, THAT REMINDERS WILL BE DELIVERED, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DUEDAYS AND ITS OWNERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE — INCLUDING ANY TAX, PENALTY, INTEREST, FEE OR OTHER COST RESULTING FROM A MISSED, LATE OR INCORRECT FILING OR PAYMENT — HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions don't allow certain limitations; in that case these limits apply to the extent permitted.
11. Indemnity
You'll defend and hold us harmless from claims and costs (including reasonable legal fees) arising from Your Content, your use of the Service in violation of these terms, or your violation of any law or third-party right.
12. Changes to these terms
We may update these terms. For material changes we'll email account holders and update the date above at least 14 days before they take effect. Continued use after that date means you accept the new terms; if you don't, export your data and close your account before then.
13. Governing law and disputes
These terms are governed by the laws of the State of California and applicable US federal law, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us at hello@duedays.app and try in good faith to resolve it informally for 30 days. Any dispute that isn't resolved will be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction. Either party may seek relief in small-claims court where eligible.
14. General
These terms, the Privacy Policy and the Disclaimer are the whole agreement between us about the Service. If a provision is unenforceable, the rest stays in effect. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of the Service. Our not enforcing a provision isn't a waiver.
